Although the terms lease and licence are sometimes used interchangeably, they carry very different legal meanings under UK law:
- Lease:
A lease grants the tenant exclusive possession of the property for a fixed term. This means the tenant can exclude others (including the landlord) from the premises, subject to the lease terms. Leases are legally binding, transferable, and often protected by the Landlord and Tenant Act 1954, giving business tenants the right to renew their tenancy. - Licence:
A licence, on the other hand, does not grant exclusive possession. It simply permits the occupation or use of a property for a specific purpose or period, without creating a tenancy. Licences are more flexible and suitable for short-term or shared occupation arrangements.
Choosing the correct form of agreement is vital. Using the wrong one can cause legal uncertainty. For example, a poorly drafted licence could unintentionally create a lease, giving the occupier more rights than intended.
Commercial leases and licences are often lengthy and complex documents. They regulate critical terms such as rent, maintenance obligations, repair responsibilities, permitted use, and renewal rights.
Having your agreement drafted or reviewed by an experienced solicitor ensures that:
- All terms comply with current UK property law.
- Your rights and responsibilities are clearly defined.
- Risks of future disputes are minimised.
- The document reflects the commercial realities of your arrangement.
- The lease or licence is properly executed and legally enforceable.
Our commercial lease solicitors take the time to understand your property, your objectives, and any unique circumstances before preparing a tailored agreement that safeguards your interests.
We assist landlords, tenants, property developers, and investors in drafting, reviewing, and negotiating leases and licences across a wide range of commercial and residential properties.

Whether you are granting a new lease, renewing an existing one, or allowing temporary use of premises, our team will ensure the document accurately reflects your agreement and protects your legal position.
A well-drafted document will usually include:
- The names and details of the parties involved.
- A full description of the property or area being let or licensed.
- The term or duration of the agreement.
- The rent amount, payment schedule, and any deposit requirements.
- Permitted use of the premises (e.g. retail, office, storage).
- Repair and maintenance obligations.
- Insurance responsibilities.
- Break clauses (allowing early termination if needed).
- Service charge and utilities arrangements.
- Assignment and subletting rights.
- Dispute resolution procedures, including arbitration or mediation, where appropriate.
By setting out these details clearly, both parties can avoid misunderstandings and manage their legal and financial commitments effectively.
